General Terms and Conditions of NTi Audio AG — Terms of Sale and Service, version dated 1 October 2026

1. These General Terms and Conditions (“GTC”) form an integral part of all contracts concerning deliveries and other services (including calibration and repairs) between NTi Audio AG (“NTi”) and customers. The current GTC are published at www.nti-audio.com. Deviating terms and conditions shall apply only to the extent that NTi has expressly accepted them in writing. Likewise, individual statements, information, advice, recommendations, any goodwill arrangements, and the conclusion of separate consultancy agreements shall be legally effective only upon NTi’s express written confirmation. Our customers’ purchasing terms and conditions shall generally not apply, even if we have not expressly objected to them. By taking the first contractual action (e.g. placing an order), the customer expressly accepts these GTC.

2. All offers made by NTi, as well as all technical information and illustrations in product and customer publications, on www.nti-audio.com, and in similar materials, are non-binding unless NTi expressly issues a binding quotation. A binding quotation shall be deemed accepted when the customer returns it signed or confirms acceptance by email within its stated validity period. Customer orders shall be subject to NTi’s GTC in force when the order is placed. NTi’s acceptance of a customer order may be confirmed in writing, by dispatch of the relevant product, or by performance of the relevant service.

3. If, while carrying out calibration or repair, NTi identifies additional defects that impair the safety, functionality, or conformity of the product, NTi shall inform the customer and obtain the customer’s approval before carrying out the corresponding additional work.

4. The prices valid at the time the order is received shall apply. Prices are net and exclusive of statutory VAT.

5. NTi’s invoices must be paid within the period stated on the invoice. Payments must be made in Swiss francs (CHF), without deduction of discounts or bank charges. Upon expiry of the payment period, the customer shall be in default without further notice. If the applicable payment period is exceeded, NTi shall be entitled to defer or refuse further deliveries and to require advance payment for subsequent orders. Customer payments shall first be applied to interest and costs and then to NTi’s oldest outstanding claim against the customer. The customer is entitled to withhold payment or set off a counterclaim only if the counterclaim has been acknowledged by NTi or finally determined by a court. NTi shall retain title to the goods it has supplied until they have been paid for in full.

6. As a rule, we deliver our products within up to 10 working days, provided the products are available and no different delivery period has been expressly agreed. The stated delivery periods are non-binding estimates. All delivery periods are subject to unforeseen obstacles. If delivery is hindered by events beyond NTi’s control, such as force majeure, operational or transport disruptions, or supply shortages affecting third parties, the delivery periods shall be extended by the duration of such hindrances. NTi may also withdraw from the contract in whole or in part if the products have not yet been delivered and cannot be procured within a reasonably extended delivery period due to lack of availability.

7. Shipment shall be made at the customer’s risk. NTi shall arrange transportation of the products at its discretion, taking the customer’s special requests into account where possible. All shipping costs and additional logistics services shall be borne by the customer unless they constitute costs of remedying a defect. At NTi’s request, the customer shall provide all information and documents required to comply with export-control regulations, including sanctions regulations. If the customer supplies NTi products to third parties, including the customer’s affiliated companies, the customer shall comply with all applicable export-control and sanctions regulations. NTi shall be entitled to refuse performance if the customer breaches this obligation. In the case of calibration and repair services, NTi shall have a right of lien over the item entrusted to it in respect of all claims arising from the calibration or repair order, provided that the item is owned by the customer. If the customer fails to collect or refuses to accept the item, NTi shall be entitled, after giving appropriate notice, to realize the item by private sale or by removing the repaired parts and scrapping the remainder.

8. Goods correctly delivered by NTi shall be accepted for return only by prior agreement. For a return agreed with NTi, the following must be observed:

  • On the accompanying document, the customer must state, in addition to the invoice number and invoice date, the NTi contact person with whom the return was agreed.
  • Goods may be returned only in their original packaging, with all supplied accessories and documentation, and only if they form part of NTi’s current product range. Returned goods that are no longer included in NTi’s product range shall be accepted only if NTi expressly agreed to their return in advance.
  • Returned goods must be in perfect, saleable condition. Defective goods shall be disposed of without reimbursement.
  • Custom-made products cannot be returned.

9. The customer must inspect NTi’s deliveries, completed services, and related invoices without delay and must notify NTi of any defects in delivered products, completed services, or invoices without delay, but no later than 8 days after receipt of the products or invoice or after completion of the service. Hidden defects must be reported immediately after discovery. If defects are not reported in due time, warranty claims shall be excluded. The customer must have any transport damage or loss recorded by the carrier upon receipt and must retain the relevant evidence. The customer may not refuse to accept a delivery on account of insignificant defects.

10. NTi warrants that the products supplied are free from defects and manufacturing faults. This warranty applies on the condition that the product is properly used and handled, maintained, and cleaned in accordance with the operating instructions supplied by NTi and that all warranty claims, unless otherwise communicated, are asserted within 36 months from the date of sale to the customer. The warranty period for repairs is 12 months from completion of the relevant repair and covers only the replaced parts during repair. Upon expiry of the applicable warranty period, all customer claims under this warranty shall lapse. Warranty claims must be submitted in writing, stating the purchase date and providing a precise description of the defect. The product or affected product part must be sent to one of NTi’s service centers without delay after the defect is identified. To the extent permitted by law, this warranty is exhaustive and replaces all prior or contemporaneous representations and written or oral agreements relating to the warranty. The warranty provisions contained in the relevant device operating instructions remain reserved.

11. If a defect in a product supplied by NTi or in another service, including calibration or repair, arises within the applicable warranty period and is reported in due time, NTi shall, at its discretion, remedy or repair the product, replace the product, or reperform the service. Claims for rescission or reduction of the price are excluded. The warranty claim shall lapse if repairs are carried out by the customer or by a third-party workshop. Because NTi’s systems form a technical unit, NTi products may not be used for purposes other than those recommended by NTi or in combination with products that are unsuitable for the intended purpose. Warranty claims are excluded if NTi products are modified by third parties or if third-party products or components are installed in NTi products. No warranty claims shall exist for defects caused by normal wear and tear, improper handling, insufficient maintenance, or the actions of third parties.

12. The customer is responsible for identifying and complying with all laws, regulations, standards, technical requirements, and third-party specifications applicable to the installation and use of NTi products. NTi employees may provide product-related information and application support, but such support does not replace any assessment or advice required from appropriately qualified acoustical, electrical, safety, or other technical professionals. NTi disclaims liability for damage arising from the customer’s failure to comply with applicable requirements or specifications or to obtain required professional advice. NTi shall remain liable to the extent required by mandatory product-liability law. Except in cases of unlawful intent or gross negligence, any further liability is excluded. To the extent permitted by law, NTi’s contractual and non-contractual liability for acts or omissions of its legal representatives, employees, and auxiliary persons, as well as the personal contractual or non-contractual liability of those persons, is excluded, subject to mandatory product-liability law. Any obligation of NTi, its governing bodies, its employees, or third parties engaged by NTi to pay damages, irrespective of the legal basis, shall be limited to the price paid or payable by the customer under the contract. Liability for indirect or consequential damage, including damage caused by delay, is excluded in all cases.

13. All intellectual property rights developed by NTi or acquired from third parties in connection with the manufacture of products or the performance of services shall remain the exclusive property of NTi. Except to the extent expressly permitted by the applicable product documentation, software license, or a separate written agreement with NTi, the customer may not use NTi’s intellectual property rights, including its patents and trademarks.

14. The place of performance for all payment obligations of the customer shall be NTi’s registered office in Liechtenstein. This legal relationship shall be governed exclusively by Liechtenstein law, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The courts at NTi’s registered office in Liechtenstein shall have exclusive jurisdiction over all disputes arising out of or in connection with this legal relationship.
